Hereinafter referred to as “Buyer”Seller desires to sell “Product” as referred to Agreement and Buyer desires to purchase the products from Seller NOW, THEREFORE, in consideration of the mutual obligations hereunder set forth it the parties hereto agree as follows:

  2. ORIGINS: Thailand, Indonesia, Vietnam (Choose by the buyer)

  1. DELIVERY: DELIVERY FIRST SHIPMENT 20 DAYS AFTER RECEIVE 50% DEPOSIT
  2. SHIPPING TERMS: FOB THAILAND
  3. INSPECTION OF QUANTITY AND QUALITY OF GOODS

               – Certificates to be provided by SGS (additional costs of inspection pay buy Buyer).

  1. CONTRACT DURATION: XX Days from the date of execution of this SPA
  2. BASIS OF SUPPLY

When the buyer takes the product and receives it, it is under the responsibility of the buyer.  Customs clearance of product is the responsibility of the Buyer.

  1. PAYMENT TERM

The Buyer transfer cash as deposit 50% TT and transfer cash for another 50% TT of the products delivered in each cycle.

             10.1 The Buyer shall pay 50% deposit of each order based on the value of Products by T/T Cash Transfer to the Seller’s bank account for preparation of order.

  1. PURCHASE CONSIDERATION

The Buyer and Seller agree to the following quantity and price terms:

      11.2. Price : XX Thai Baht (XX Thai Baht) per boxes (The price not include VAT)

All bank charges assessed by the Buyer’s bank relating to the Buyer are the Buyer’s sole responsibility.

  1. FORCE MAJEURE

Both sides in this contract will be exonerated from their obligation in case of force majeure event. Force majeure means any event such as fire, explosions, hurricanes, floods, earthquakes and similar natural calamities, wars, military operations, terrorism, riots, revolts, strikes, industrial unrest, government embargoes, or other unforeseeable actions occurring after the conclusion of this contract and outside the Parties’ reasonable control and which cannot be avoided by the reasonable diligence that could delay or prevent the performance of either Parties obligations  in this contract. The Party to this contract whose performance of this contract is prevented by a Force Majeure event must notify the other Party within 7 days in writing of the effective date of the occurrence, including particulars of the event and expected duration.

  1. MEDIATION OR ARBITRATION

Should any dispute, disagreement or claim arise between the Parties (“the dispute”) concerning this Agreement, the Parties will try to resolve the dispute by negotiation. This entails that the one party invites the other in writing to a meeting and to attempt to resolve the dispute within 30 days from date of the written invitation.

  1. CONFIDENTIALITY AGREEMENT

The Seller, his mandate and the Buyer and his mandate will treat information provided by the other party on a strictly private and confidential basis. The Seller and Buyer will take all necessary steps to prevent the others confidential information from being misused or disclosed or made public, to any third party, except as needed to successfully complete the Contract or to avoid conflicting claims (and except as may be required in accordance with the applicable law).

  1. AGREEMENT SIGNATORIES

Each of signatories to this Agreement hereby confirms that they have full right, power and authority to execute this Agreement and to perform the actions contained in this Agreement.

BY SIGNING BELOW, both parties abide by their corporate and legal responsibilities and execute this Agreement under full penalty of perjury. Sworn, signed, and certified under the pains and penalties of perjury

This contract was made in two versions. With the same message both parties have read and understood the information thoroughly throughout signed with the seal (if any) is important before the witness. And keep copy of this contract with each one.

INCORPORATE U.S. PUBLIC LAW 106-229, ‘‘ELECTRONIC SIGNATURES IN GLOBAL & NATIONAL COMMERCE ACT’’ OR SUCH OTHER APPLICABLE LAW CONFORMING TO THE UNCITRAL MODEL LAW ON ELECTRONIC SIGNATURES (2001)

ELECTRONIC COMMERCE AGREEMENT (ECE/TRADE/257, GENEVA, MAY 2000) ADOPTED BY THE UNITED NATIONS CENTRE FOR TRADE FACILITATION AND ELECTRONIC BUSINESS (UN/CEFACT).

EDT DOCUMENTS  SHALL  BE  SUBJECT  TO  EUROPEAN  COMMUNITY  DIRECTIVE  NO.  95/46/EEC, AS APPLICABLE. EITHER PARTY MAY REQUEST HARD COPY OF ANY DOCUMENT THAT HAS  BEEN PREVIOUSLY TRANSMITTED BY ELECTRONIC MEANS PROVIDED HOWEVER, THAT ANY SUCH REQUEST SHALL IN NO MANNER DELAY THE PARTIES FROM PERFORMING THEIR RESPECTIVE OBLIGATIONS AND DUTIES UNDER EDT INSTRUMENTS.
